StradaModa is committed to preserving your right to privacy. While we don't ask for any registration or personal information to browse our site, some information about your server address, Web browser, and computer system are automatically transmitted to our Web servers so that we can operate our site on the Internet. StradaModa does not collect identifying information about you (such as Your name, address, telephone number, or email address) unless You voluntarily submit that information to us through our Contact Us page, our StradaModa Newsletter page, or other means. StradaModa stores its customer information in a password-protected database to fulfill your requests for certain services. All information You submit to us is confidential and we do not sell or otherwise disclose such information to third parties.

Copyright, Trademark, and Intellectual Property (Use of Site Material)
The contents of this site, including, without limitation, Web site design, text, graphics, images, sound recordings, video recordings, and other content (hereinafter "Content") are owned by or licensed to StradaModa, clients, and partners of StradaModa, and are protected by copyright under both United States and foreign laws. Unauthorized use of the Content violates copyright, trademark, and other laws. The Content and all copyrighted material may not be modified, copied, distributed, downloaded, displayed, e-mailed, transmitted or sold in any form or by any means, in whole or in part, without the prior written consent of the respective copyright owner. Use of the Content on any other Web site or in a networked environment is prohibited.

Security of StradaModa Network and Systems
Violations to system or network security are prohibited, and can result in criminal and civil liability. Continuous attempts to infiltrate or damage network security and systems may be treated as violations. StradaModa will investigate incidents involving such violations and may involve and will cooperate with law enforcement if a criminal violation is suspected. Examples of system or network security violations are as listed, but not limited to:

• Unauthorized access to or use of data, systems or networks, including any attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without express authorization of the owner of StradaModa's system or network.
• Unauthorized monitoring of data or traffic on any network or system without express authorization of the owner of StradaModa's system or network.
• Interference with service to any user, host or network including, without limitation, mail spam, flooding, deliberate attempts to overload a system and broadcast attacks.
• Forging of any TCP-IP packet header or any part of the header information in an email or a newsgroup posting.
• You are responsible for Your own communications and their consequences. Therefore, do not submit any of the following: material that is copyrighted; material that reveals trade secrets; material that infringes on any other intellectual property rights of others or on the privacy or publicity rights of others; material that is obscene, defamatory, threatening, harassing, abusive, hateful, or embarrassing to another user or any other person or entity; sexually explicit images; advertisements or solicitations of business; chain letters or pyramid schemes. Do not impersonate another person under any circumstance while submitting information or communicating with StradaModa.
  

Representations and Warranties

Mutual Representations and Warranties. You represent and warrant to StradaModa and StradaModa represents and warrants to you: (i) that you or it has the full power and authority to enter into and perform under these TOS, (ii) the execution and performance of your or its obligations under these TOS do not constitute a breach of or conflict with any other agreement or arrangement by which you or it is bound, and (iii) these TOS are a legal, valid and binding obligation of the party entering into these TOS, enforceable in accordance with their terms and conditions.

By You. You represent and warrant to StradaModa that, in your use of the StradaModa Service, you: (i) will not infringe the copyright, trademark, patent, trade secret, right of privacy, right of publicity or other legal right of any third party and (ii) will comply with all applicable laws, rules, and regulations. You further represent and warrant to StradaModa that: (i) there are no claims, demands or any form of litigation pending, or to the best of your knowledge, threatened with respect to any of your Content; (ii) StradaModa will not be required to make any payments to any third party in connection with its use of your Content, except for the expenses that StradaModa incurs in providing the StradaModa Service; (iii) the use of any instructions, formulae, recommendations, or the like contained in your Content will not cause injury to any third party; and (iv) your Content does not contain viruses or any other programs or technology designed to disrupt or damage any software or hardware.

DISCLAIMER OF WARRANTIES
STRADAMODA PROVIDES THE WEB SITE AND STRADAMODA SERVICE ON AN "AS IS" AND "AS AVAILABLE" BASIS. STRADAMODA DOES NOT REPRESENT OR WARRANT THAT THE WEB SITE, STRADAMODA SERVICE OR ITS USE: (i) WILL BE UNINTERRUPTED, (ii) WILL BE FREE OF INACCURACIES OR ERRORS, (iii) WILL MEET YOUR REQUIREMENTS, OR (iv) WILL OPERATE IN THE CONFIGURATION OR WITH THE HARDWARE OR SOFTWARE YOU USE. STRADAMODA MAKES NO WARRANTIES OTHER THAN THOSE MADE EXPRESSLY IN THESE TOS, AND HEREBY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY AND NON-INFRINGEMENT.

EXCLUSION OF DAMAGES.
STRADAMODA WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE OR SPECIAL DAMAGES (INCLUDING DAMAGES RELATING TO LOST PROFITS, LOST DATA OR LOSS OF GOODWILL) ARISING OUT OF, RELATING TO OR CONNECTED WITH THE USE OF THE STRADAMODA SERVICE, BASED ON ANY CAUSE OF ACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Limitation of Liability
LIMITATION OF LIABILITY. IN NO EVENT WILL STRADAMODA'S LIABILITY IN CONNECTION WITH THESE TOS EXCEED THE GREATER OF (i) THE AMOUNT PAID TO STRADAMODA BY YOU DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT THAT GIVES RISE TO SUCH LIABILITY, OR (ii) ONE HUNDRED DOLLARS ($100).


Indemnification
StradaModa LLC is not responsible for interruption in availability of web site caused by the web hosting service or any other third party. The customer will defend, indemnify, save and hold StradaModa LLC harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney fees asserted StradaModa LLC, that may arise or result from any service provided or performed or agreed to be performed, or any product sold by the customer.

The customer will be responsible for any copyright infringement arising from the use of any graphics, text, logos, etc. supplied by the customer or created by StradaModa LLC for use on the web site.

StradaModa LLC will not be responsible for any damages any business may suffer.  StradaModa LLC makes no warranties of any kind, expressed or implied for services provided.  StradaModa LLC disclaims any warranty of merchantability or fitness for a particular purpose. This includes loss of data resulting from delays, non-deliveries, wrong delivery, and any and all service interruptions caused by any third party.

What We Do Not Do
At StradaModa we desire all our clients to succeed.   However, we will not support product or services that are questionable as far as the accepted morality of the society we live in, such as pornography, violence, or any unlawful act


Billing/Payment
The customer will pay for services according to StradaModa LLC current published rate sheet. Standard rates are not subject to change.  There are no additional charges for updates or upgrades. Additional services requested by the customer and not included in standard service will be invoiced and billed separately.

When site goes live first monthly payment is due immediately and prorated to the 15th of the following month.  If for any reason the transaction is not completed payment must be received with 15 days for the site to remain active.  If site for any reason site is deactivated a reactivation fee of $219.00 is required plus any past due amount.  Billing is monthly and automatic via PayPal.


Contract/Cancellation
There is no contract term and cancellation can be affected with receipt of 30 day written notification received via USPS, FedEx.
